Terms of Service
Effective Date: October 4, 2026
Please read these Terms of Service carefully before using the Climate Reception website or services.
1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Climate Reception website and services. Climate Reception is a product of Black Eagle Technologies Private Limited ("Climate Reception," "we," "us," or "our").
By accessing our website, booking a meeting, or using our services, you agree to these Terms. If you are using the services on behalf of a business, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the website or services.
If you and Climate Reception have signed a separate written agreement, that agreement will control where it conflicts with these Terms.
2. Description of Services
Climate Reception provides call handling and AI receptionist services designed for HVAC businesses. Depending on the configuration agreed with a customer, services may include answering inbound calls, collecting caller details, triaging service requests, routing or escalating calls, scheduling or requesting appointments, and sending summaries or notifications.
The specific features, scope, and configuration of the services are determined by the plan or agreement applicable to each customer. We may modify, improve, or discontinue features from time to time.
3. Customer Accounts and Information
You agree to provide accurate, current, and complete information about yourself and your business, and to keep that information updated.
You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. Use of the Service
You agree to use the website and services only for lawful business purposes and in accordance with these Terms. You agree not to:
- Use the services in violation of any applicable law or regulation, including laws governing telemarketing, calls, messaging, consumer protection, or privacy
- Use the services to send unsolicited or deceptive communications
- Interfere with or disrupt the security or operation of the services
- Attempt to gain unauthorized access to any system, account, or data
- Copy, reverse engineer, resell, or create derivative works of the services except as expressly permitted
- Use the services to transmit harmful, infringing, or unlawful content
5. Customer Responsibilities
You remain solely responsible for your own business operations, including your pricing, dispatch decisions, technician availability, service quality, workmanship, licensing, warranties, and relationships with your customers.
You are responsible for the accuracy of the business information, scripts, schedules, pricing, policies, and instructions you provide to configure the services, and for reviewing and approving that configuration.
You are responsible for providing any notices to, and obtaining any consents from, callers and customers that are required by applicable law for the services you choose to enable.
6. AI and Automated Communications
The services may use artificial intelligence and automated systems to answer calls, interpret requests, and generate responses or summaries. Automated systems may occasionally misunderstand callers, produce inaccurate information, or fail to respond as expected.
AI-generated outputs should not be relied upon as professional, technical, safety, or legal advice. You are responsible for reviewing call summaries and information produced by the services and for establishing appropriate human follow-up and escalation procedures, including for emergencies.
The services are not an emergency service and are not a substitute for contacting emergency services. Callers facing an immediate danger to life, health, or property should contact the appropriate emergency services directly.
7. Calls, Call Recording and Transcription
Where enabled in a customer's configuration, the services may record, transcribe, or summarize calls. Call recording and transcription are used only where enabled and permitted by applicable law.
Laws governing call recording vary by jurisdiction and may require the consent of one or all parties. You are responsible for determining whether recording or transcription is appropriate for your business and for ensuring that required notices are given and consents obtained.
8. Appointments, Leads and Customer Communications
The services may capture leads, collect caller information, and request or schedule appointments based on your configuration and connected calendars or systems.
Climate Reception does not guarantee any number of calls answered, leads captured, appointments booked, jobs won, or revenue generated. Appointment requests and leads may require confirmation by you, and you are responsible for following up with callers and fulfilling any services you agree to provide.
9. Third-Party Services and Integrations
The services may rely on or integrate with third-party products, such as scheduling, calendar, telephony, CRM, hosting, automation, and AI technology providers. Your use of third-party services may be subject to their own terms and privacy policies.
Climate Reception does not operate or control third-party services and is not responsible for their availability, accuracy, security, or performance. Changes to third-party services may affect the availability of certain features.
10. Fees, Billing and Payment
Fees for the services are set out in the applicable order, proposal, or agreement. Unless otherwise stated, fees are payable in advance and are non-refundable except as required by law or expressly stated in writing.
You are responsible for any applicable taxes. We may suspend services for overdue amounts after providing notice. We may change our fees with reasonable advance notice, with changes taking effect at the start of the next billing period unless otherwise agreed.
11. Cancellation and Termination
You may cancel the services in accordance with the terms of your plan or agreement. Unless otherwise agreed, cancellation takes effect at the end of the then-current billing period.
We may suspend or terminate access to the services if you materially breach these Terms, fail to pay fees when due, or use the services in a manner that creates legal, security, or operational risk.
Upon termination, your right to use the services ends. Provisions that by their nature should survive termination, including those relating to fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.
12. Intellectual Property
Climate Reception and its licensors retain all rights, title, and interest in the website, the services, and all related software, technology, designs, and branding. No rights are granted except as expressly stated in these Terms.
You retain ownership of the business information and content you provide. You grant Climate Reception a limited license to use that information as necessary to provide, maintain, secure, and improve the services.
If you provide feedback or suggestions, we may use them without obligation to you.
13. Confidentiality
Each party may receive non-public information from the other that is identified as confidential or would reasonably be understood to be confidential. Each party agrees to use such information only for purposes related to the services and to protect it with reasonable care.
These obligations do not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.
14. Disclaimers
To the maximum extent permitted by law, the website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Climate Reception does not warrant that the services will be uninterrupted, error-free, or available at all times, that every call will be answered or handled correctly, or that the services will achieve any particular business result.
15. Limitation of Liability
To the maximum extent permitted by law, Climate Reception will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, jobs, customers, goodwill, or data, arising out of or related to the website or services.
To the maximum extent permitted by law, Climate Reception's total liability for any claim arising out of or related to these Terms or the services will not exceed the amount you paid to Climate Reception for the services during the three months preceding the event giving rise to the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless Climate Reception and Black Eagle Technologies Private Limited from claims, losses, and expenses, including reasonable legal fees, arising out of your business operations, your services to your customers, your violation of these Terms, or your failure to comply with applicable law, including laws relating to notices, consents, and call recording.
17. Changes to the Terms
We may update these Terms from time to time. When we make changes, we will update the Effective Date at the top of this page. Your continued use of the website or services after changes take effect constitutes acceptance of the updated Terms.
18. Governing Law
These Terms are governed by the law specified in your written agreement with Climate Reception. Where no written agreement specifies the governing law, these Terms will be governed by applicable law, without regard to conflict-of-law principles. Nothing in these Terms limits any rights you may have under laws that cannot be waived by contract.
